Supplier Agreement
This Agreement governs all suppliers on Jmall Online Shopping Center (jmallgh.com), including mall operations, negotiation systems, slightly used listings, delivery responsibilities, and payment rules.
1. Agreement Structure & Parties
This Agreement is between Jmall Online Shopping Center (jmallgh.com), operating as Merchant of Record, and the registered Supplier. By using the platform, the Supplier agrees to all terms, policies, and operational rules including pricing, negotiation, delivery, and mall guidelines.
2. Legal Relationship
Suppliers are independent contractors and not employees or agents of Jmallgh.com. Jmallgh.com acts as Merchant of Record and mall operator. Customers purchase from Jmallgh.com, not directly from Suppliers.
3. Merchant of Record & Payments
All payments are collected by Jmallgh.com through approved payment gateways including Mobile Money providers. Jmallgh.com deducts a 5% commission on successful transactions. Supplier payouts are released after successful delivery confirmation, dispute resolution, and fraud clearance where applicable.
4. Product Ownership & Risk
Suppliers remain fully responsible for product authenticity, quality, accuracy, and condition until successful delivery or pickup confirmation. Suppliers remain liable for defects, misrepresentation, or incorrect listings even after delivery where applicable under consumer protection rules.
5. Supplier Responsibilities
Suppliers must ensure accurate product listings, truthful descriptions, correct pricing, proper packaging, lawful goods, and timely order fulfillment. Suppliers must also comply with platform rules for negotiation pricing and slightly used product labeling where applicable.
6. Platform Rights
Jmall reserves the right to suspend suppliers, cancel orders, adjust listings, or withhold payments where necessary to protect customers, prevent fraud, maintain platform integrity, or enforce policy compliance.
7. Pricing, Promotions & Negotiation System
Suppliers set base prices for their products. Jmall may apply promotions, discounts, or dynamic pricing systems that affect final customer prices while preserving supplier earnings structure. The platform also supports a negotiation system where buyers may request price adjustments through an automated or semi-automated engine. Suppliers agree that negotiated prices accepted through the system are binding. Repeated manipulation, false listings, refusal to honor accepted negotiated prices, or abuse of pricing systems may result in suspension, penalties, or removal from the platform.
8. Slightly Used Products
Suppliers may list gently used, refurbished, or slightly used products where permitted by Jmallgh.com. Suppliers are fully responsible for clearly disclosing product condition, accuracy of descriptions, and any defects. Slightly Used products must not be misrepresented as new. Failure to properly disclose condition, or intentional misrepresentation, may result in penalties, account suspension, or liability for refunds and damages.
9. Delivery Responsibility
Jmallgh.com manages delivery through internal riders, third-party logistics providers, or supplier handover systems depending on location and order type. Suppliers are responsible for proper packaging and timely handover of goods. Delivery risk remains with the supplier until successful handover or pickup confirmation by the customer.
10. Returns & Refund Liability
Suppliers are financially responsible for returns, refunds, or replacements in cases involving defective products, wrong items, missing items, or misrepresentation. All refund cases may be investigated jointly by Jmallgh.com, the supplier, logistics partners, and the customer before final resolution.
11. Indemnity
Suppliers agree to fully indemnify and hold harmless Jmall Online Shopping Center against any claims, damages, liabilities, legal actions, or customer disputes arising from supplier products, listings, misconduct, or legal violations.
12. Exclusivity
Suppliers are not restricted from selling on other platforms unless otherwise agreed in a separate written contract with Jmallgh.com.
13. Termination Rights
Jmallgh.com may suspend or permanently terminate supplier accounts immediately in cases of fraud, repeated violations, manipulation of negotiation systems, fake listings, customer harm, or breach of platform policies.
14. Government & Legal Cooperation
Jmallgh.com may share supplier data with government authorities, regulators, or law enforcement agencies when required under applicable laws in the Republic of Ghana.
15. Content License
Suppliers retain ownership of their content but grant Jmallgh.com a worldwide, royalty-free, transferable, sublicensable license to use, modify, display, distribute, and promote product content for operational, marketing, and platform improvement purposes.
16. Pay Small Small & Instalment Programmes
Jmall may operate instalment programmes, including Pay Small Small, in which Jmall purchases eligible products and resells them to buyers over time as the principal seller. For products sold through such programmes, Jmall may acquire the product from the Supplier and hold it in a Jmall warehouse until the buyer completes payment, after which it is delivered to the buyer. Where a product is acquired from the Supplier for an instalment programme, the Supplier is paid for that product in accordance with the applicable purchase terms and the Supplier's payout settings, which may provide for payment up front and/or on completion of the buyer's plan. All product authenticity, quality, accuracy, packaging, and disclosure obligations under this Agreement continue to apply to products supplied for these programmes.
17. Governing Law
This Agreement is governed by the laws of the Republic of Ghana. All disputes arising from this Agreement shall be subject to the jurisdiction of Ghanaian courts.
